Lets say im decellerating and in third gear. If i shift down into second the gear changes but then i get a grinding sound and though the gear is only half engaged.

Happens in reverse aswell. If i am reversing all going well then i press in the clutch to freewheel i get that "in between gears noise".

I have to take it out of gear and then put it back into the gear.

Nothing happens when i am accelerating and changing up through the gears.

Is my clutch shot? or would a clutch bleed solve the problem.

If u can put it easy in gears with engine running(especially 1'st and reverse) then the clutch is ok, dont try to bleed it if the cylinders are quite old cos u could make it worst..... you might have some syncro probs or something else within the gearbox(gear output shaft maybe).... i'm affraid it's an overhaul kind of job.
 
What happens if you double de-clutch to equalise the engine and gearbox speeds whilst changing ?
